The cash-and-stock deal values Kraken parent Payward at $20 billion and is expected to close in the second half of 2026.
Payward said Reap will add regulated card issuance and stablecoin infrastructure to Payward Services, strengthening its business-to-business payments platform.
The companies said their licences complement each other across the Americas, Asia-Pacific, the EU and the US, with expansion targeted at Latin America and the Middle East and North Africa.
