Secretary of state Kung Phoak said the move would follow any unilateral Thai withdrawal from the 2001 pact covering overlapping claims in the Gulf of Thailand.
He said Phnom Penh was deeply disappointed by reports of a possible cancellation and warned ending the agreement could disrupt negotiations and create uncertainty over future dispute-resolution efforts.
Cambodia says MOU 44 has guided boundary talks for more than two decades and remains a basis for cooperation, while reaffirming a peaceful, fair settlement under international law.
