The April 28 order rejected a bid by broadband groups, DirecTV and Newsmax to halt the $6.2bn deal after FCC approval.
Judges said a preliminary injunction already issued by the Eastern District of California reduced claims of irreparable harm and blocked Nexstar and Tegna from integrating operations.
The court also said the challengers had not shown likely jurisdiction because an FCC application for review remains pending, making the appeal potentially incurably premature.
