Pacific investors will receive 0.2633 Banner shares per share, valuing Pacific at $17.44 each based on Wednesday's close.
The combined company is expected to hold about $18 billion in assets, with Banner shareholders owning roughly 93% and Pacific investors about 7%.
Banner said the deal should boost 2027 earnings per share excluding transaction costs, close in the third quarter, and bring Pacific CEO Denise Portmann onto its executive team.
