CVC is not using the fund to “enter Europe” for itself; it is using a US-based company as a platform to expand that company in Europe. Catalyst III is a Europe-focused mid-market buyout fund, but that does not mean every target must be headquartered in Europe. What matters is where CVC sees the growth and value-creation opportunity. In WillowWood’s case, CVC says the main opportunity is to build a stronger direct commercial footprint in Europe, where it believes demand for prosthetics products can be expanded. That fits the fund’s strategy. Catalyst III targets businesses with strong market positions, predictable fundamentals and room for operational improvement, international expansion and add-on acquisitions. WillowWood, an Ohio prosthetics maker founded in 1907, already has an established product base, innovation credentials and some presence in key European markets. CVC’s plan is to use its healthcare expertise, European network and local operating reach to accelerate R&D, launch more products, pursue M&A and scale distribution across Europe. So the logic is not contradictory: the asset is American, but the investment thesis is European growth. CVC is effectively buying a proven medtech business and using Europe as the next major expansion market. That is consistent with a Europe-focused fund, especially in mid-market private equity, where firms often back companies from outside the region if the value creation is expected to come substantially from European expansion.
